Stuart Wood Consulting and Copywriting Terms and Conditions

These terms and conditions are designed to provide a clear process from commencing a project through to delivering a solution which you are delighted with. I have created a phased approach which provides clear stages that require your sign-off prior to commencing the next stage. This ensures that you are completely in control of the project from the outset and have an ongoing and collaborative role with the work. This provides you with confidence that the project will be completed to your absolute satisfaction. In short, I want you to be absolutely delighted with the work that is produced and will do my utmost to achieve this goal.


Proposal Sign-Off

Following on from any initial discussions/brief regarding your project a proposal will be created. This document will respond directly to your brief and will cover each of the key stages in the development of the work required. Resources and time allocated will be clearly outlined with a fixed price for the project. The value of the project is then divided by 4 and the first payment is due when the proposal is signed-off and confirmed. This acts as a non-refundable deposit and ensures that my diary is booked for your project. On receipt of this payment my diary is booked and the project will commence on the agreed date.


Project Framework

When you hire me to carry out marketing or copywriting work a comprehensive framework is created which encapsulates all the work that will be completed along with the various methods employed. This acts as a further point for clarifying your objectives and requirements. Once this framework is agreed and signed-off the work proposed will then commence. The second payment is due at this point.


1st Draft

A first draft will be produced which will be directly aligned with your brief, the proposal, and the framework. Changing the specification of the project at this stage may require a reallocation of resources and costs. The first draft is a comprehensive piece of work which is my interpretation of the previous brief, proposal, framework and any corresponding discussions. Due to the creative and strategic nature of the work I undertake assessing this work can often be subjective. We all think differently after all. What I can assure you is that the work I will create is what I consider to be the most professional and appropriate for your needs. At this 1st Draft stage there is however plenty of opportunity for you to provide your feedback on all of the work. This feedback period will be outlined in the proposal and you should assign time in your diary to carry this work out. In the event that this feedback is not forthcoming during the time allocated further resources and costs may need to be allocated to the project. On receipt of this feedback I will advise and discuss any comments you might have. In the event that any amends are required this document can be completely re-written if necessary. I will then produce a second draft which will take into account all your comments. This second draft is then sent to you for sign-off. Once this document is signed-off the 3rd payment is then due. On confirmation that this payment has been made the final draft is then produced. In the event that this document is not signed-off and the work completed is not to your absolute satisfaction, and we agree that the work produced is off-brief and clearly outside the proposal and the framework, the project can either be halted at this stage or further resources allocated. In the event that the project is halted by mutual consent no further payments will be requested and all copyright will remain with Stuart Wood. This is entirely without prejudice. No liability or admission of failure or inability to complete the project on my part is implied. You agree to make no use whatsoever of any material I have prepared for you. In the event that the project is allocated new resources then this will be agreed and time booked for completion of the project. In the event that the project is cancelled without good reason then the full amount of the project will be payable.


Final Draft

The final draft goes through a number of stages that ensures all final comments and amends are taken into account. All of the work will be revisited, reviewed and polished to a high standard and proofread. This document will then be presented and final payment will be requested. On receipt of this final payment all copyright will be assigned to your company. You are however entirely responsible for final proofreading and ensuring what is written is a true and accurate description of your company, services and or products. You are advised to hire professional legal counsel to ensure this is the case.


Contract

If you are hiring me on behalf of a company or organisation you hereby agree that you are fully authorized to hire me. If I am hired to work on a project that is for a client of yours, in the event that you are representing an agency, you hereby agree that this contract is established between myself, Stuart Wood, and your agency. Not between myself and your client. For any work that I undertake I do my utmost to create work that is of the highest professional standards recognised by the Chartered Institute of Marketing and the Institute of Direct Marketing. I work in an ethical manner and always attempt to provide the best advice for my clients. I am however not an expert in your business and you agree to take full responsibility for any advice provided and or copywriting produced. It is your legal and professional responsibility to ensure that any copywriting is not misleading regarding your organisations offerings and is in line with your industry’s best practice. You agree by hiring me to indemnify me against any claim for compensation or damages brought about as a direct result of the work that I do for you, your organisation or company or any organisation or company that you might represent in the form of any agency relationship. Whilst I endeavour to ensure that my work complies with the law, it is your responsibility to submit all copy for legal advice and review. You also agree to absolve me of all responsibility for any loss of income or for any costs or damages suffered by you or by any third party as a result of any delay or reallocation of resource to a new date. Invoices will be sent electronically and are payable immediately on receipt at the corresponding phase of the project. Written confirmation that payment has been made to my bank account will be required to commence the next phase. Should you wish to cancel the project due to a reason outside of my control once you have confirmed the proposal and before the start date of the project then a total of 50% of the project value will be due. In the event that the framework has been commenced 75% of the project value will be due and in the event that the 1st draft is commenced or completed the total value of the project will be due. When you provide me with written materials you agree that you are authorized to do so and outline where any materials hold copyright. You agree to indemnify me against any legal action that arises either directly or indirectly as a result of this content. I endeavour to produce work of the highest standards and will do my utmost to ensure all work that is created is supplied to you free of any spelling or factual errors. You agree that you are fully responsible however for final proofreading and you agree to indemnify me against any costs or legal actions that are as a direct or indirect result of any such errors. In the event that any contract is brought into being as a direct result of my work the parties to any such contract agree to submit in English language to the jurisdiction of the English and Welsh courts.
